1. Agreement
These Terms of Service govern your access to and use of CloudServer websites, billing systems, support systems, Cloud VPS services, Windows VPS services, Linux VPS services, storage, network resources, IP addresses, control panel tools, APIs, and related services. By creating an account, placing an order, using a service, or continuing to use a service, you agree to these terms and any service-specific terms presented during checkout or in the client portal.
2. Eligibility and Account Information
You must provide accurate contact, billing, and account information and keep it current. You are responsible for maintaining the confidentiality of your account login, passwords, SSH keys, API credentials, and authorized users. Activity performed through your account is your responsibility unless CloudServer determines that unauthorized access occurred through no fault of yours.
3. Services Provided
CloudServer provides self-managed cloud hosting services, including virtual private servers, operating system templates, control panel actions, network access, IP address assignments, and related support. Unless a separate managed service agreement states otherwise, customers are responsible for administration, software updates, application configuration, firewall rules, security hardening, backups, and content hosted on their services.
4. Acceptable Use
You may not use CloudServer services for spam, phishing, malware, botnets, denial of service attacks, unauthorized scanning, credential theft, illegal content, intellectual property infringement, harassment, child sexual abuse material, fraud, network abuse, or any activity that harms CloudServer, its network, other customers, or third parties. CloudServer may investigate abuse reports and may suspend, filter, rate-limit, null-route, or terminate services when necessary to protect the platform.
5. Security
You are responsible for securing your systems, including operating systems, applications, passwords, remote access services, SSH keys, RDP access, databases, and web applications. You must promptly address compromised services, open relays, vulnerable scripts, malicious files, or other security issues. CloudServer may take emergency action if a service creates risk to the network or third parties.
6. Billing, Payments, and Renewals
Fees are due according to the billing cycle, invoice, order form, or plan selected. Services may renew automatically unless cancelled according to the cancellation process in the client portal. CloudServer may suspend or terminate services for unpaid invoices, failed payments, chargebacks, fraud risk, or billing disputes. Taxes, payment processor fees, bank fees, chargeback fees, and collection costs may be the customer's responsibility where permitted by law.
7. Cancellations and Refunds
Customers are responsible for cancelling services through the billing portal before renewal if they do not wish to continue service. Unless a specific refund policy is published or agreed in writing, payments for activated services, renewals, setup fees, licenses, IP addresses, custom work, and consumed resources are non-refundable. CloudServer may choose to issue credits or refunds at its discretion, but doing so does not create an obligation to provide the same treatment in the future.
8. Backups and Data Loss
Customers are responsible for maintaining independent backups of all data. CloudServer may offer backup tools or storage options, but no backup should be treated as guaranteed unless expressly stated in a separate written agreement. CloudServer is not responsible for data loss caused by customer error, software failure, compromise, suspension, termination, billing issues, abuse remediation, hardware failure, or events outside reasonable control.
9. IP Addresses and Network Resources
IP addresses, network allocations, hostnames, and related resources are assigned for use with active CloudServer services and remain under the control of CloudServer or its upstream providers. CloudServer may change, reclaim, renumber, filter, or remove resources when required for technical, operational, abuse, legal, or provider-related reasons.
10. Support
Support is provided through CloudServer's help desk and billing portal. Support covers platform access, billing questions, provisioning issues, and infrastructure-related concerns. Unless a managed service is purchased, CloudServer is not responsible for administering customer applications, debugging custom code, configuring third-party software, or managing customer operating systems.
11. Service Availability
CloudServer works to provide reliable infrastructure, but no service is guaranteed to be uninterrupted, error-free, or immune from outages. Maintenance, upstream provider issues, power events, software bugs, abuse events, security incidents, and force majeure events may affect availability. Any service credits, if offered, must be requested through the support system and are the customer's sole remedy for availability issues.
12. Customer Content
You retain ownership of content you upload or host. You grant CloudServer the limited rights necessary to transmit, store, back up, process, and display that content solely as needed to provide the services. You represent that you have the rights and permissions required to host and distribute your content.
13. Compliance With Law
You are responsible for using the services in compliance with applicable laws, regulations, industry rules, export controls, sanctions requirements, and third-party rights. CloudServer may disclose information or restrict services when required by law, court order, subpoena, law enforcement request, or reasonable legal compliance process.
14. Limitation of Liability
To the maximum extent permitted by law, CloudServer is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business, loss of goodwill, or data loss. CloudServer's aggregate liability for any claim is limited to the amount paid by the customer for the affected service during the one month period immediately preceding the event giving rise to the claim.
15. Indemnification
You agree to defend, indemnify, and hold CloudServer harmless from claims, damages, liabilities, costs, and expenses arising from your use of the services, your content, your customers or users, your violation of these terms, or your violation of law or third-party rights.
16. Changes to Services or Terms
CloudServer may update products, pricing, features, locations, control panel options, policies, and these terms from time to time. Continued use of the services after changes are posted or provided constitutes acceptance of the updated terms.
